These Terms of Service (“Terms”) govern your access to and use of the products and services (“Services”) provided by RyLi Business Group LLC (“RyLi,” “we,” “us,” or “our”), including but not limited to LotTracker, the RyLi Dashboard, and any related tools, features, or modules offered through our websites and applications.

By accessing or using any of our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Services Description

RyLi provides business analytics and consulting services, including software-as-a-service (SaaS) products. LotTracker is a read-only inventory analytics dashboard that connects to your existing e-commerce platform (Shopify, WooCommerce, or Lightspeed) and optionally to QuickBooks Online. Our Services analyze your data and present insights. We do not modify, delete, or write data back to your connected platforms.

2. Eligibility and Account Terms

You must be at least 18 years old and authorized to act on behalf of the business entity registering for our Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information during registration and to update such information as needed.

3. Subscription and Payment

Access to certain Services requires a paid subscription. Subscription fees are billed through our website at rylibusinessgroup.com using PayPal Commerce Platform or Authorize.net. All fees are stated in U.S. dollars. Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. We reserve the right to change pricing with 30 days written notice. Onboarding fees and setup costs are non-refundable once work has begun.

4. Data Handling and Connectivity

Our Services connect to your third-party platforms (such as Shopify, WooCommerce, Lightspeed, and QuickBooks Online) using read-only API access. We pull data from these platforms to generate analytics and reports. We do not store your customers’ payment card information. We do not sell your data to third parties. 5. Acceptable Use

You agree not to:

  • Use our Services for any unlawful purpose or in violation of any applicable laws or regulations
  • Attempt to gain unauthorized access to our systems, other accounts, or data belonging to other users
  • Reverse engineer, decompile, or disassemble any part of our software
  • Resell, redistribute, or sublicense access to our Services without our written consent
  • Interfere with or disrupt the integrity or performance of our Services
  • Use automated scripts or bots to access our Services beyond normal API usage

6. Intellectual Property

All software, designs, documentation, and other materials provided as part of our Services are the exclusive property of RyLi Business Group LLC. You retain full ownership of your business data. Our Services do not transfer any intellectual property rights to you beyond the limited right to use the Services during your active subscription. You may not copy, modify, or create derivative works based on our software.

7. Service Availability

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. Our Services depend on third-party platforms (Shopify, QuickBooks Online, etc.) and infrastructure providers (Vercel, Supabase). Downtime caused by these third parties is outside our control. We will make reasonable efforts to notify you of planned maintenance. We are not liable for any loss or damage resulting from service interruptions.

8. Limitation of Liability

To the maximum extent permitted by law, RyLi Business Group LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of our Services. Our total liability for any claim arising from these Terms or your use of our Services shall not exceed the total fees you paid to us during the twelve (12) months immediately preceding the event giving rise to the claim. Our Services provide analytics and insights to support your business decisions. We are not responsible for business decisions you make based on the data presented by our tools.

9. Cancellation and Termination

You may cancel your subscription at any time by contacting us at hello@rylibusinessgroup.com or through your account settings. Cancellation takes effect at the end of the current billing period. Upon cancellation, your access to the Services will continue until the end of the paid period, after which your account will be suspended. We retain your data for 90 days after cancellation to allow for reactivation. After 90 days, your data will be permanently deleted. We reserve the right to suspend or terminate your account at any time for violation of these Terms, with or without notice.

10. Indemnification

You agree to indemnify and hold harmless RyLi Business Group LLC, its owners, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of our Services, your violation of these Terms, or your violation of any rights of a third party.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through our Services. Your continued use of our Services after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using our Services and cancel your subscription.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our Services shall be resolved in the courts located in Snohomish County, Washington.
